• "Company" refers to M/s. Skytech Ultrafab Pvt. Ltd., its directors, employees, agents, and authorised representatives.
• "Customer / Buyer" refers to any individual, firm, or corporate entity placing an inquiry, purchase order, or entering into a contract with the Company.
• "Products" refers to all filter fabrics, filter bags, made-ups, filter press cloths, filter cartridges, and all other industrial filtration goods manufactured or supplied by the Company.
• "Order" refers to any purchase order, work order, or written confirmation of requirement submitted by the Buyer and accepted by the Company.
• "Agreement" refers collectively to these Terms and Conditions, any accepted quotation, pro forma invoice, and delivery terms issued by the Company.

All orders are subject to acceptance by Skytech Ultrafab. An order is deemed accepted only upon issuance of a written order acknowledgement, pro forma invoice, or similar written confirmation by the Company.

• The Company reserves the right to accept or reject any order at its sole discretion without liability.
• Orders for custom / made-to-order products require submission of approved drawings, specifications, or equipment details. Production commences only after written approval of specifications by the Buyer.
• Any changes to an accepted order must be submitted in writing. Changes may affect delivery lead time and pricing.
• Verbal or telephonic orders are not binding until confirmed in writing by the Company.

All prices quoted are in Indian Rupees (INR) unless specifically stated otherwise. Quoted prices are valid for a period of 30 days from the date of quotation unless otherwise stated.

• GST: All applicable Goods and Services Tax (GST) will be charged in addition to the product price as per prevailing rates. GSTIN: 24ABICS3923N1ZZ.
• Payment: Standard payment terms are advance payment or as agreed in the accepted quotation. For new customers, 100% advance payment is required.
• Late Payment: Invoices not paid by the due date may attract interest at the rate of 18% per annum on the outstanding amount.
• Bank Details: Payments to be made to Axis Bank Ltd., Vapi, A/c No. 922020026149809, IFSC: UTIB0000111. The Company is not liable for payments made to any other account.
• The Company reserves the right to revise prices due to increases in raw material costs, government levies, or currency fluctuations. Customers will be notified in advance of any such revision.

Delivery lead times are indicative and commence from the date of order confirmation and, where applicable, receipt of advance payment and approved drawings.

• Standard products: 7–10 working days. Custom fabricated products: 10–20 working days depending on complexity and material availability.
• Delivery dates are estimates and not guaranteed. Skytech Ultrafab shall not be liable for any loss or damage arising from delay in delivery caused by circumstances beyond its reasonable control (force majeure).
• Risk in the goods passes to the Buyer upon handover to the carrier or transporter. The Buyer is responsible for arranging transit insurance unless otherwise agreed in writing.
• Partial deliveries may be made at the Company's discretion and shall be invoiced separately.
• For export orders, Incoterms (Ex-Works / FOB Surat/Vapi or as agreed) will be specified in the pro forma invoice. All export customs clearance charges, freight, and import duties at destination are the Buyer's responsibility unless otherwise agreed.

Skytech Ultrafab is an ISO 9001:2015 certified manufacturer. All products are manufactured in accordance with customer-approved CAD drawings and specifications.

• Products are manufactured to the specifications provided by the Buyer. The Buyer is responsible for ensuring that the specifications provided are accurate and suitable for the intended application.
• The Company does not warrant that products will be fit for purpose for any application not disclosed or agreed at the time of order.
• Minor variations in dimensions (±2–3%), weight (±5%), and colour are inherent in textile manufacturing and do not constitute a defect.
• For pharmaceutical-grade GMP products, the Buyer must specify all compliance requirements (FDA, cGMP, antistatic grade, etc.) at the time of ordering. The Company will not be liable for non-compliance if requirements are not communicated in writing.
• Product testing certificates and quality documentation will be provided as per scope agreed at order stage.

The Buyer must inspect all goods upon receipt and notify the Company of any visible defects, shortages, or damage within 7 calendar days of delivery. Failure to notify within this period constitutes acceptance of the goods.

• Claims for concealed defects must be reported within 30 days of delivery, supported by photographs, samples, and a written description of the defect.
• Returns are accepted only with prior written authorisation from the Company. Goods returned without authorisation will not be credited.
• Custom / made-to-order products are non-returnable unless a manufacturing defect is proven.
• The Company's liability for defective goods is limited to replacement of the defective items or issuance of a credit note at the Company's discretion. The Company will not be liable for any consequential, indirect, or incidental losses.

All content on www.skytechfab.com — including but not limited to text, images, product descriptions, CAD drawings, technical data sheets, logos, and branding — is the exclusive intellectual property of Skytech Ultrafab Pvt. Ltd.

• No content from this website may be reproduced, distributed, modified, or used for commercial purposes without prior written consent from the Company.
• Customer-supplied drawings and specifications remain the property of the Customer. The Company will not share or reproduce such drawings without written consent.
• Skytech Ultrafab's name, logo, and trademarks may not be used in any marketing material, catalogue, or public communication without prior written approval.

Both parties agree to keep confidential all technical, commercial, and business information exchanged during the course of their dealings. This obligation survives the termination of any agreement.

• Customer drawings, process data, and application details submitted to the Company will be used solely for fulfilling the relevant order and will not be disclosed to third parties.
• The Company's pricing, product formulations, manufacturing processes, and supplier details are proprietary and confidential.

To the maximum extent permitted by applicable law:

• The total liability of Skytech Ultrafab arising out of or in connection with any order shall not exceed the invoice value of the products that are the subject of the claim.
• The Company shall not be liable for any indirect, consequential, special, or incidental damages including loss of profit, loss of production, equipment downtime, or business interruption.
• The Company is not liable for product failure caused by incorrect installation, misuse, unauthorised modification, operation outside specified parameters, or use in applications not communicated at the time of order.
• The Company's liability for transit damage is limited to goods supplied under a delivery arrangement where the Company has arranged freight. For Ex-Works orders, risk passes upon handover to the transporter.

Neither party shall be liable for any failure or delay in performance to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to:

• Acts of God, floods, fires, earthquakes, or natural disasters.
• Epidemics, pandemics, or public health emergencies declared by government authorities.
• War, hostilities, riots, civil unrest, or terrorist acts.
• Government actions, embargoes, sanctions, or changes in law or regulation.
• Industrial disputes, strikes, or lockouts.
• Disruption to raw material supply chains or logistics beyond reasonable control.

The affected party shall promptly notify the other party in writing of the force majeure event and its expected duration.

• Cancellation of standard stock orders is permitted up to 48 hours after order placement at no charge.
• Cancellation of custom / made-to-order products after production has commenced will attract a cancellation charge covering materials procured and work-in-progress costs, up to 100% of the order value.
• All cancellation requests must be submitted in writing. Cancellations are effective only upon written acknowledgement by the Company.
• Advance payments against cancelled orders (less applicable cancellation charges) will be refunded within 15 working days of written acknowledgement of cancellation.

• Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably through good-faith negotiations between the parties within 30 days of the dispute being raised in writing.
• If the dispute cannot be resolved through negotiation, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Vapi, Gujarat, India.
• Subject to the above, the courts at Vapi / Valsad, Gujarat shall have exclusive jurisdiction over any disputes arising under these Terms.

Skytech Ultrafab reserves the right to update or amend these Terms and Conditions at any time. The revised Terms will be posted on www.skytechfab.com with an updated "Last Updated" date. Continued use of the website or placement of orders after such changes constitutes acceptance of the revised Terms.

For ongoing supply contracts, any material amendments to terms will be notified to the Customer in writing with a minimum of 30 days' notice.
